Terms of trade

1. Scope
These terms apply to every commercial relationship between DFI GROEP B.V ("seller") and its customers ("buyer") for goods or services offered via gfigroep.com or by direct quotation. The seller's offer, the buyer's purchase order, and any framework agreement signed by both parties supersede these terms to the extent of any inconsistency.
2. Quotations
All written quotations are valid for 14 calendar days from the date of issue unless a different period is named in the quotation. Prices are in EUR unless otherwise stated. Quoted prices are exclusive of VAT, customs duties, and (for non-DDP Incoterms) shipping and insurance.
3. Orders & confirmation
An order is binding only after the seller has sent a written order confirmation by email. The order confirmation states the agreed product, quantity, price, Incoterm, lead time, and delivery window. Any deviation the buyer wants from the order confirmation must be requested in writing; the seller accepts only via a revised written order confirmation.
4. Price & currency
Prices follow the seller's price list in force on the date of the order confirmation, less any discount agreed in writing. For orders with lead time exceeding 30 days, the seller may pass through documented origin-side cost changes (FX, container freight, raw-material) up to ±5% without prior notice. Increases above 5% require buyer consent.
5. Payment terms
- New buyers: 50% deposit on order confirmation, 50% balance against copy of Bill of Lading.
- Existing buyers (3+ successful shipments): 30% deposit, 70% against BL copy.
- Preferred/strategic accounts: net-30 from invoice date, subject to credit check.
Late payment triggers statutory commercial interest under Dutch law (6% above ECB base rate) plus collection costs. The seller reserves the right to suspend further deliveries until overdue amounts are settled.
6. Delivery & Incoterms
Delivery follows the Incoterm stated in the order confirmation (Incoterms 2020 rules, ICC publication No. 723E). For DAP/DDP, the buyer must provide a deliverable address with normal truck access. Demurrage, storage, and re-routing costs caused by the buyer are passed through. Lead time is counted from the day after cleared deposit, not from the order confirmation date.
7. Title & risk
Risk passes at the Incoterm point. Title (property) passes to the buyer on full payment of the invoice. Until then, the seller may, at the buyer's cost, recover the goods or require their safekeeping marked as seller's property.
8. Claims
Visible damage or shortage must be noted on the transport document at the time of receipt, with photographs and a written claim within 5 working days. Hidden defects (quality, packaging) must be reported in writing within 10 working days of discovery, with samples retained. Claims filed after these windows are barred.
9. Liability
The seller's aggregate liability for any single shipment is limited to the invoice value of that shipment. The seller is not liable for indirect, consequential, or punitive damages, lost profit, or business interruption. Nothing in these terms excludes liability for fraud, gross negligence, or death/personal injury caused by seller's negligence.
10. Governing law & jurisdiction
These terms and any contract they form part of are governed by Dutch law. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. The competent court is the District Court of Gelderland, Arnhem location, unless the parties agree otherwise in writing. The seller may also bring claims in the buyer's home jurisdiction.
